Terms of Service

These Terms of Service (“Terms”) govern your use of ReviewFlow (the “Service”), operated by [Legal entity name], [registered address], Portugal (NIF [NIF]) (“ReviewFlow”, “we”, “us”). Please read them together with our Privacy Policy.
1. Acceptance of terms
By creating an account, connecting a Google Business Profile, or subscribing, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service. Continued use after we update the Terms means you accept the updated version.
2. Eligibility & accounts
You must be at least 18 and use ReviewFlow on behalf of a business you are authorised to represent — this matters because the Service publishes replies under your business’s Google identity. You sign in through a third-party provider (Google or Microsoft); we do not store a password, and account security depends partly on your login provider. One account may manage multiple businesses, subject to your plan.
3. Description of the Service
ReviewFlow connects to your Google Business Profile, detects new reviews, and uses AI to generate a suggested reply. Replies are never published automatically. A reply is only sent to Google after you review, edit if needed, and approve it. We may add, change, or discontinue features, and the Service depends on the continued availability of third-party APIs (see §8).
4. Account responsibilities & security
You are responsible for activity under your account, for keeping your login secure, and for notifying us promptly of any unauthorised access. Because sign-in is delegated to Google or Microsoft, we are not responsible for security incidents that originate at your identity provider.
5. Subscription, billing & trials
- Plans. ReviewFlow is offered on subscription plans (which may cap the number of connected businesses). The current plans, prices, and what each includes are shown at checkout before you pay.
- Free trial. New accounts may start with a free trial. What happens at the end of the trial (for example, whether a paid subscription begins) is shown before you start it.
- Auto-renewal. Paid subscriptions renew automatically each billing cycle until cancelled.
- Price changes. We may change prices with at least 30 days’ notice; you may cancel before the change takes effect rather than be charged the new price.
- Cancellation. You can cancel at any time through the Stripe customer portal, effective at the end of the current billing period. Cancelling is as easy as subscribing.
- Refunds. Except where required by law (see §14), fees already paid are non-refundable. Payments are processed by Stripe; we do not store your card details.
6. Acceptable use
You agree not to:
- use the Service unlawfully, or to publish false, defamatory, harassing, or discriminatory content;
- impersonate a business you are not authorised to represent;
- reverse-engineer, scrape, resell, or circumvent security or rate limits of the Service;
- use the Service in a way that breaches Google’s or Stripe’s own terms and policies.
We may suspend or terminate accounts that violate this section (see §12).
7. Your content & responsibilities
ReviewFlow drafts suggested replies; you decide what is published. You are solely responsible for any reply published to Google under your business’s name, whether or not our AI drafted it, and for ensuring it complies with Google’s review-reply and content policies. Google may independently suspend a Business Profile for policy violations — a risk outside our control. You grant us a limited licence to process your business’s review and profile data solely to provide the Service.
8. Third-party services
- Google Business Profile API. The Service depends entirely on Google’s API access, quotas, and approval. Google may change, limit, or revoke access, or suspend a profile, independently of us, and we are not liable for interruptions caused by Google-side changes. Our use of Google user data follows the Google API Services User Data Policy (see our Privacy Policy).
- Stripe. Billing is handled by Stripe as an independent processor, subject to Stripe’s terms.
- AI provider. Draft generation depends on our AI provider’s availability and is subject to its usage terms.
9. Intellectual property
We retain all rights in the Service itself (software, branding, and interface). You retain ownership of your business content and your approved, published replies. We grant you a limited, non-exclusive, non-transferable licence to use the Service for its intended purpose during your subscription.
10. Disclaimers & AI output
The Service is provided “as is” and “as available”, without warranties except those that cannot be excluded under applicable law (including mandatory EU consumer protections). AI-generated drafts may contain inaccuracies, may not reflect your brand voice or the facts, and are not guaranteed to be error-free or legally compliant. You are responsible for reviewing every draft before publishing it.
11. Limitation of liability & indemnification
To the extent permitted by law, our total liability for any claim is limited to the fees you paid in the 12 months before the event giving rise to the claim, and we are not liable for lost profits, lost revenue, or lost data. Nothing in these Terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited under applicable law. You agree to indemnify us against claims arising from replies you publish, your misuse of the Service, or your breach of Google’s policies.
12. Termination & suspension
You may terminate at any time by cancelling your subscription and closing your account. We may suspend or terminate your access for breach of these Terms, non-payment, security threats, or if a third party revokes access we need to run your account. On termination we delete or retain data as described in the Privacy Policy; unpublished drafts are discarded.
13. Changes to the Terms
We may update these Terms and will post the new version here with an updated date. For material changes (including to pricing or core rights), we will give reasonable notice by email or in-app. Continued use after the effective date means you accept the changes.
14. Governing law, disputes & consumer rights
- Governing law. These Terms are governed by the laws of Portugal, without depriving you of the mandatory consumer protections of your country of habitual residence.
- Jurisdiction. Disputes are subject to the competent Portuguese courts; where you are a consumer, you keep any right to bring proceedings in your own country under EU rules.
- 14-day withdrawal. If you are an EU consumer, you may withdraw from your subscription within 14 days without giving a reason. If you ask us to start the Service immediately during that period and then withdraw, we may charge a proportionate amount for the part already provided.
- Online dispute resolution. The European Commission’s ODR platform is available at ec.europa.eu/consumers/odr. In Portugal, you may also use an approved alternative dispute-resolution entity (e.g. CICAP — cicap.pt).
